Your GuardMyPad.com Account

If you begin using this service, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify GuardMyPad of any unauthorized uses of your account, your account or any other breaches of security. GuardMyPad will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

Responsibility of Users

If you operate an account or otherwise make (or allow any third party to make) material available by means of the Website (any such material, “Content”), you are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of what form the Content takes, which includes, but is not limited to text, photo, video, audio, or code. By making Content available, you represent and warrant that your content does not violate these terms or the User Guidelines. If you delete Content, GuardMyPad will use reasonable efforts to remove it from the Website, but you acknowledge that caching or references to the Content may not be made immediately unavailable.

Without limiting any of those representations or warranties, GuardMyPad has the right (though not the obligation) to, in GuardMyPad’s sole discretion (i) refuse or remove any content that, in GuardMyPad’s reasonable opinion, violates any GuardMyPad policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Website to any individual or entity for any reason, in GuardMyPad’s sole discretion. GuardMyPad will have no obligation to provide a refund of any amounts previously paid.

GuardMyPad has not reviewed, and cannot review, all of the material, including computer software, posted to the Website, and cannot therefore be responsible for that material’s content, use or effects. By operating the Website, GuardMyPad does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Website may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. GuardMyPad disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.

In addition, you agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," or other similar systems, that access the video, television, film or other digital media content through GuardMyPad Site or performing automated registration to the Site in a manner that sends more request messages to the GuardMyPad servers in a given period of time than a human user can reasonably produce in the same period by using a conventional web browser, or automatically records the content of channels in a given period of time than a user can reasonably watch, or create automatic searches and clicks on channels links and watch marks in a given period of time than a human user can reasonably produce. You agree not to collect or harvest any personally identifiable information, including User IDs, from the Site, nor to use the communication systems provided by the Site for any commercial solicitation purposes. You understand that your Content may be transmitted over various networks and changed to conform and adapt to technical requirements. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the content, software, materials, or Services in whole or in part. In connection with your use of the Service, we may send you service announcements, administrative messages and other information. You may opt out of some of those communications.

Payment and Renewal

Optional paid services such as extra storage may become available on the Website (any such services, an “Upgrade”). By selecting an Upgrade you agree to pay GuardMyPad the monthly or annual subscription fees indicated for that service. Payments will be charged on a pre-pay basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly or annual subscription period as indicated.

By starting your GuardMyPad subscription and providing or designating a Payment Method, you authorise GuardMyPad to charge you a monthly subscription fee for the subscribed plan at the then current rate, and any other charges you may incur in connection with your use of the Service to your Payment Method. Where you change your plan during a month, we may bill you any difference between the subscription fee for your old and new plans for the remainder of that month. The amount billed each month for the subscribed plan is a recurring amount which will only be varied in the event that you change your plan or GuardMyPad adjusts the prices for the Service. Where the applicable subscription fee is varied, you authorise us to charge your Payment Method for such varied amounts, which may be billed monthly in one or more charges. GuardMyPad reserves the right to adjust pricing for our Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes to your Service will take effect no earlier than 30 days following notice to you. Any subscription fee for our Service will be automatically billed using your Payment Method at the beginning of your subscription and each month thereafter unless and until you cancel your subscription. GuardMyPad reserves the right to change the timing of our billing, in particular, as indicated below, if your Payment Method has not successfully settled. In the event your subscription began on a day not contained in a given month, GuardMyPad may bill your Payment Method on a day in the applicable month or such other day as we deem appropriate. Your renewal date may change due to changes in your subscription. GuardMyPad may authorise your Payment Method in anticipation of subscription or service-related charges. As used in these Terms of Service, "billing" shall indicate a charge, debit or other payment clearance, as applicable, against your Payment Method. Unless otherwise stated differently, month or monthly refers to your billing cycle. Payments are nonrefundable and there are no refunds or credits for partially used periods. Following any cancellation, however, you will continue to have access to the Service until the end of your current billing period. At any time, and for any reason, GuardMyPad may provide a refund, discount, or other consideration to some or all of our subscribers ("credits"). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance. Where more than one Payment Method exists you may edit your chosen Payment Method information by logging into your online account on the GuardMyPad website. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not edit your Payment Method information or cancel your account, you remain responsible for any uncollected amounts and authorise us to continue billing the Payment Method, as it may be updated. This may result in a change to your payment billing dates. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details. You provide your explicit consent to the immediate commencement of your subscribed Service when you have confirmed the subscription plan details and provided a Payment Method. You acknowledge that you lost your right to withdrawal, but this does not affect your right to cancel your subscription, which you may do at any at any time, and you will continue to have access to the subscribed Service until the end of your monthly billing period. In addition you may have rights of cancellation under consumer protection rights that you may be entitled to under the mandatory laws of your local jurisdiction. GuardMyPad does not provide refunds or credits for any partial-month subscription periods or periods of unused Service. To cancel, login to your online account on the GuardMyPad website and follow the instructions for cancellation. If you cancel your subscription plan, your account will automatically revert to the free plan at the end of your current billing period. If you cancel or downgrade your subscription plan, you acknowledge that from the end of the billing period any recorded content that is not included in the conditions, limitations and features of your new plan will cease to be stored on GuardMyPad’s System. If you signed up for GuardMyPad using your account with a third party as a Payment Method, and wish to cancel your GuardMyPad subscription at any time, you may need to do so through such third party, including by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from, the GuardMyPad Service through that third party. You may also find billing information about your GuardMyPad subscription by visiting your account with the applicable third party.

Sharing your content with GuardMyPad

If you agree to share media with GuardMyPad you grant us the right to use any part of that media to promote our service in perpetuity and for no fee. Your content will only be used alongside the GuardMyPad brand such as a GuardMyPad press release or for advertising the GuardMyPad service. There will be times when your content is the primary focus of some publicity and the GuardMyPad brand is secondary (such as a newspaper publishing media demonstrating break-in prevention). If you delete your account with GuardMyPad you agree that any media that you have shared with us will remain available for us to use to promote our service. GuardMyPad will not sell your content without your consent.

GuardMyPad will terminate a visitor’s access to and use of the Website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of GuardMyPad or others. In the case of such termination, GuardMyPad will have no obligation to provide a refund of any amounts previously paid to GuardMyPad.
